Evernorth’s XRP Funding Window Shrinks by $18 Million as Shares Slide
• November 4, 2026 11:13 am • CommentsEvernorth has cleared an important regulatory condition for its XRP funding plan. But the same pool of authorized shares now points to roughly $18 million less potential cash than it did less than two weeks ago.
That is the central tension in this deal: the financing door is open, but a lower stock price makes the doorway narrower.
CryptoSlate reports that Evernorth’s resale registration became effective on October 30. The registration covers as many as 5,218,935 new Class A shares that Evernorth may sell to CF Principal Investments, a Cantor Fitzgerald affiliate, under a committed equity facility.
At XRPN’s November 3 closing price of $11.98, that original share allowance works out to about $62.5 million before contractual discounts and expenses. Using the October 22 closing price of $15.46, the same number of shares produced an $80.7 million illustration.
The gap is approximately $18.2 million, or 22.5%.
Nothing about that comparison means Evernorth has already raised either amount. It shows how sensitive a share-denominated funding plan is to the company’s market price.
Evernorth (Nasdaq: XRPN) has entered into an agreement for an equity line of credit for approximately $80 million.

Under the terms disclosed by Evernorth, the company controls whether and when it sends purchase notices. Cantor ordinarily pays 97% of the volume-weighted average price during the applicable purchase period, subject to trading-volume and ownership limits.
An ordinary purchase is generally capped at 20% of trading volume during the purchase period, while Cantor cannot cross a 4.99% beneficial-ownership limit. Evernorth also disclosed a $521,893.50 upfront commitment fee, possible adjustments capped at $1 million in total commitment fees, transaction expenses and a separate $200,000 qualified-independent-underwriter fee.
A simple closing-price multiplication shows the direction of the math, but it is not a forecast of net proceeds. Actual cash would depend on how many shares Evernorth sells, the prices during those purchase periods, fees and the agreement’s other conditions.
The SEC effectiveness notice satisfies one required step. It does not prove that Evernorth has issued shares, received settled proceeds or bought fresh XRP through the facility.
Evernorth has said proceeds may support XRP acquisitions, product development in the XRP ecosystem and general corporate purposes. The financing therefore creates a possible route to new XRP demand, not a confirmed market order.
The distinction matters because Evernorth already holds roughly 473 million XRP. Investors are watching whether the treasury grows quickly enough to offset the additional shares issued to finance it.
A treasury can add tokens while still reducing the amount of XRP attributable to each share. The result depends on the price Evernorth receives for its stock, the portion of proceeds actually used to buy XRP and the token price at the time of purchase.
Due to an administrative delay that is not expected to affect the closing, we now expect to close on Friday, October 9th, with XRPN expected to start trading on Nasdaq on Monday, October 12th, in each case subject to customary closing conditions and Nasdaq listing requirements.…

Evernorth only began trading on Nasdaq in October, so this is one of the first real tests of its public-company treasury model. A falling share price leaves the facility intact while changing the math behind every possible draw.
The cleanest confirmation will be a dated disclosure showing the number of shares sold, settled cash received and XRP actually acquired. Until those figures appear together, the financing should be treated as capacity—not completed buying.
