Institutional XRP treasury moving through a bright financial gateway above split ledger layers

Evernorth Brings 473 Million XRP to Nasdaq—But Ripple Ties Complicate the Books

Evernorth has finished its combination with Armada Acquisition Corp. II and expects its shares to begin trading on Nasdaq under the ticker XRPN.

The headline number is hard to miss: roughly 473 million XRP now sits inside a public company built to put that reserve to work.

That makes Evernorth more than another company holding crypto on its balance sheet. It is trying to turn a huge XRP position into an operating treasury—deploying capital across lending, liquidity and other parts of the XRP economy while reporting the results to public shareholders.

But the same Ripple connections that helped build the vehicle also create an accounting wrinkle investors should not wave away.

In its closing announcement, Evernorth said the transaction brought together approximately 473 million XRP and about $300 million in gross cash proceeds, with XRPN shares expected to start trading after the business combination closed. The company said it intends to deploy that capital across the XRP economy and pursue growth in XRP per share, turning the reserve into an operating mandate instead of a passive token pile.

Evernorth says it plans to support the broader XRP ecosystem while pursuing opportunities intended to increase XRP per share over time. That could include liquidity provision, institutional finance and other on-chain uses.

Public investors are buying XRP price exposure plus management’s decisions about deploying a volatile digital asset without taking reckless counterparty or liquidity risk.

The structure matters because a listed company comes with recurring disclosure, audit and governance obligations that a private crypto fund does not face in the same way. Investors will be able to compare the market value of XRPN with the value of the XRP and cash behind it, then judge whether Evernorth’s active strategy earns a premium or deserves a discount.

Evernorth’s XRP base and strategic relationships are closely tied to Ripple and the wider XRP ecosystem. That alignment gives the company access, expertise and a clear mandate.

It can also create related-party questions when assets, services or opportunities move among entities with overlapping economic interests.

The company’s SEC filing record gives investors the dated merger documents, current reports and closing exhibits behind the Nasdaq story rather than a promotional summary. It also provides the formal record for changes in capital, ownership and material agreements as the public company begins operating.

Those filings are where Evernorth must identify material relationships and explain the economics of token contributions, fees, loans or liquidity arrangements. Shareholders can compare management’s public claims with binding disclosures and judge whether related-party dealings were valued and presented on understandable terms.

That paper trail becomes especially important after trading begins, because XRP’s market price can move the company’s reported asset value faster than its operating strategy develops. A clear filing should separate token-price gains and losses from returns earned through management’s actual deployment decisions.

The core accounting rule for crypto holdings has improved.

Under FASB’s crypto-asset standard, qualifying holdings are measured at fair value each reporting period, with changes flowing through earnings and added disclosures covering significant holdings and activity. That gives shareholders a more current picture than the old impairment model, but it does not answer who stood on the other side of a transaction or whether a related arrangement was struck on market terms.

Evernorth gives XRP supporters something they have wanted for years: a public-market vehicle whose business is explicitly centered on the asset and the network around it. The 473 million-XRP reserve makes the company consequential from day one.

Now management has to prove that active treasury work adds value after expenses and risk. The clean scorecard will be XRP per share, cash runway, realized yield, counterparty exposure and the clarity of related-party disclosures—not the size of the opening reserve by itself.

If Evernorth can grow that reserve responsibly while keeping its books easy to understand, XRPN could become a serious bridge between the XRP economy and traditional markets. If the relationships become hard to untangle, the market will price that uncertainty quickly.
